1. Who provides the service

These Terms govern your use of Regio. By creating an account or using the service, you agree to these Terms. If you act for a business, you must have authority to bind it. If you do not agree, do not create an account or use the service. Save or print a copy for your records.
2. What Regio does
Regio helps Kenyan businesses and their accountants organise records, track obligations, prepare tax information and reconcile transactions. Features depend on your plan, permissions and integration status; not every obligation supports automatic filing.
Production KRA filing and eTIMS submission are not currently available. A prepared return, tracked obligation, invoice preview or payment record is not evidence of KRA acceptance or tax payment. Check the official acknowledgement and applicable authority’s records.
3. Tax advice and third-party systems
Regio is an independent software service, not KRA, and does not claim KRA endorsement or certification. Explanations and calculations are general assistance, not a professional opinion on your particular tax affairs. Obtain qualified advice where needed.
You remain responsible for accurate source records, reviewing calculations, filing on time and paying taxes. External systems have their own availability and terms. Accountant access does not itself grant filing authority; supported submissions require appropriate permissions and approvals.
4. Accounts and acceptable use
- Provide accurate information, keep credentials confidential and report suspected unauthorised access.
- Only upload records you are authorised to use. Give required notices and obtain necessary permission from people whose data you provide.
- Manage business roles carefully. Paying for an account does not transfer ownership or grant access or filing authority.
- Do not submit fraudulent records, impersonate others, share malware, bypass access controls, access another business’s records or disrupt the service.
The service is intended for adults managing business records, not children.
5. Plans, trials and payment
The plan, price in Kenyan shillings, billing period and any applicable charges must be shown before payment approval. Certain features (e.g., M-Pesa Reconciliation) require a Pro subscription. A trial is not authorisation to charge you.
Subscription fees are billed in advance and are non-refundable except as required by law. Each M-Pesa renewal requires a separate payment approval; Regio does not automatically debit your M-Pesa account. Check the amount and recipient before approving a prompt. Payment is confirmed from verified payment records, not a browser message alone.
We reserve the right to modify pricing with 30 days notice. Changes apply to future purchases or renewals, not coverage already paid for. Contact support before retrying an uncertain payment.
6. Cancellation and refunds
Use Settings → Danger Zone → Cancel Subscription for the selected business. Access continues until the displayed paid or trial end date. You can undo a scheduled cancellation before it takes effect. Cancellation does not itself request a refund or delete records.
The Cancellation & Refunds policy forms part of these Terms. Nothing removes a cancellation, refund or other remedy available under applicable law.
7. Your records and intellectual property
You retain your rights in your records and content. You permit us to process that content only as needed to provide and secure the service, follow lawful instructions and meet legal obligations. Your data does not become Regio’s property.
Regio’s software, branding and original content remain the property of their respective owners. A subscription permits use of the available service for your business, not redistribution of its software.
Keep original statutory records and copies of available reports. Regio does not replace your own legal record-keeping duties.
8. Personal data
The Privacy Policy explains personal data use, cookies and rights. Processing records on a business customer’s instructions requires a written agreement. Our Data Processing Agreement is available for review and written acceptance; viewing it does not sign it or confirm completed provider due diligence.
9. Availability, suspension and closure
We maintain the service but do not promise uninterrupted access, error-free calculations or a specific support response time. Maintenance and external failures may interrupt access. Report material problems promptly.
We may restrict access where reasonably necessary to address unlawful use, security risks, serious breaches of these Terms or legal obligations. Where lawful and practical, we will explain the reason and allow an opportunity to resolve it. Closure does not remove existing obligations or statutory remedies.
Request account deletion in Settings or contact us. Requests are reviewed; deletion is not immediate. Retention duties, shared financial records and legal holds may limit erasure. Read the Privacy Policy before requesting closure.
10. Responsibility and liability
To the extent permitted by law, Regio is not responsible for indirect or consequential losses, including lost profits. We do not accept responsibility for penalties caused by inaccurate data you supply, deadlines you control or external outages outside our reasonable control.
This does not exclude responsibility for fraud, wilful misconduct or liability that cannot lawfully be excluded. Mandatory consumer and data protection rights, and obligations expressly undertaken in a signed agreement, remain intact.
11. Changes and disputes
Kenyan law governs these Terms. Contact us with the dispute and the outcome you seek. Unresolved disputes may be brought before competent Kenyan courts or applicable regulators and statutory dispute processes. You need not waive a right to complain.
We will post dated revisions and notify you through the service or account email before material changes apply, except urgent legal or security changes. Pricing remains subject to the notice above. A separately signed agreement controls expressly agreed different terms.
